In the merger of Alpha Services and Holdings by the Alpha Alpha Bankthe shareholders of Alpha Bank decide. As he said shortly, at the start of the Extraordinary General Assembly of shareholders, Alpha Bank President Dimitris Tsitsiragos, with this merger, seals the complete return to regularity and the start of a new cycle for the Group, in terms of development and terms.
As Mr Tsitsiragos said, the existence of the corporate structure of recent years was dictated by the demands and needs of a crisis and capital management era for Alpha Bank. “Today, we leave this chapter behind and consolidate a bank more single, more powerful, more effective, with a clear targeting in the future.”
The merger is done by a ratio of 1: 1, that is, each share of ALPHA services and entries is exchanged with a new share of ALPHA Bank SA. without an impact on the group’s capital adequacy or dividend policy. According to the settlement of the Athens Stock Exchange, the negotiation of Alpha Services and Holdings shares will be temporarily suspended from Wednesday, June 24 until Friday, June 27, 2025, while the new Alpha Bank shares will begin negotiating on Monday.
As Mr Tsitsiragos said, the merger decision is being implemented in a period of strong performance for the Alpha Bank group, with the bank showing historically high profitability and continuous progress in implementing its strategy. He is accompanied by a strong vote of confidence by Unicredit, one of the leading European banking groups, who has chosen to further enhance his participation in Alpha Bank.
It is noted that the general meeting of the shareholders was the chief executive, Vassilis Psaltis, as he was in a meeting with Prime Minister Kyriakos Mitsotakis and Unicredit Group CEO, Andrea Orsel at Maximos Palace. As part of the visit of Unicredit CEO, Messrs. Psaltis and Orchel, had an earlier working lunch with Bank Governor Yiannis Stournaras.
It is noted that Unicredit announced that it will increase its share in Alpha Bank’s share capital to 20% from about 9%, and 30% within the year.
